Terms of Service

These Terms of Service ("Terms") govern your access to and use of the JD Codec website, APIs, and software provided by JD CODEC PTY LTD (ACN 697 259 233) ("JD Codec", "we", "us"). By accessing or using our service, you agree to these Terms. If you do not agree, do not use the service.

01 · Early access and beta status

JD Codec is currently available as an early access product. This means the service is under active development. Features may change, APIs may evolve, and the service may experience interruptions. We do not offer uptime guarantees during this phase.

Access is granted at our discretion. We may limit, suspend, or discontinue access at any time during the early access period without notice. Your feedback and input during this period directly shapes the product.

02 · What JD Codec does

JD Codec is a perception optimisation service for AI browser agents. It works by:

  • ·Running a lightweight connector on your device that intercepts browser state between your agent and its language model
  • ·Transmitting compressed state representations to our cloud service for processing
  • ·Returning optimised perception data that reduces the token load sent to your language model provider

JD Codec does not provide language model inference. You continue to use your own API key with your chosen model provider. We are a middleware layer, not a model provider.

03 · Your account

To use JD Codec you may be required to register using your email address. You are responsible for maintaining the security of your account credentials. You must not share access with others or use the service on behalf of an entity without authority to do so.

You must provide accurate information when registering. You must be at least 18 years old to use the service.

04 · Your API keys and model providers

JD Codec uses a bring-your-own-key (BYOK) model. Your language model API keys are used directly by your agent. They are not transmitted to JD Codec's servers.

You are solely responsible for your use of third-party AI services and for complying with the terms of service of those providers (including Anthropic, Google, OpenAI, and others). JD Codec does not accept liability for costs, rate limit violations, or policy breaches incurred with your model provider.

05 · Acceptable use

You must not use JD Codec to:

  • ·Violate any applicable law or regulation
  • ·Access systems or data without authorisation
  • ·Scrape, harvest, or collect personal data from third-party websites without permission
  • ·Attempt to reverse engineer, decompile, or extract the proprietary components of the JD Codec cloud service
  • ·Interfere with or disrupt the service or its infrastructure
  • ·Resell or sublicense access to the service without our written consent

We reserve the right to suspend or terminate access for violation of these terms without notice.

06 · Intellectual property

The JD Codec cloud service — including its compression algorithms, session management, and proprietary processing logic — is our intellectual property and is protected by law. These Terms do not grant you any rights in the cloud service beyond the right to use it as described here.

The JD Codec connector (the software installed on your device) is open source and licensed under the Apache License 2.0. A copy of that licence is included with the connector software.

You retain ownership of all data your agents process. We claim no intellectual property rights over the content of the websites your agents access.

07 · Privacy

Your use of JD Codec is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

08 · Disclaimer of warranties

JD Codec is provided "as is" without warranties of any kind, whether express or implied. We do not warrant that the service will be uninterrupted, error-free, or that any specific results will be achieved.

The compression ratios and performance improvements referenced in our marketing materials are based on benchmark testing under specific conditions and may not reflect your actual results. Agent performance depends on many factors outside our control.

09 · Limitation of liability

To the maximum extent permitted by law, JD Codec and its directors, employees, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising out of or relating to your use of the service.

Our total liability to you for any claim arising from your use of the service will not exceed the amount you paid us in the 12 months preceding the claim, or AUD $100 if no payment has been made.

Nothing in these Terms limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or rights under the Australian Consumer Law.

10 · Changes to the service and these terms

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you by email. Your continued use of the service after changes take effect constitutes your acceptance of the revised Terms.

We may also modify, suspend, or discontinue the service at any time, including during the early access period, without liability.

11 · Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising from these Terms or your use of the service.
